Professional Biography

Ari B. Lustig is Counsel at Polsinelli's Chicago office. He focuses his practice on a broad range of corporate and transactional matters, with an emphasis on transactions involving Delaware limited liability companies, partnerships, corporations, and business trusts. Ari routinely advises on a wide variety of commercial transactions, including structured finance, financing, secured transactions and mergers and acquisitions. 

Ari is a member of the Firm’s opinion committee and delivers a wide range of third-party legal opinions including non-consolidation opinions, opinions regarding UCC matters and Delaware opinions with respect to corporations, limited liability companies, general partnerships, limited partnerships and statutory trusts.

Ari has significant experience regarding the formation, structuring, and operation of Delaware entities and his work includes rendering advice with respect to Delaware corporate and alternative entity matters including mergers, conversions, divisions and other lifecycle events as well as matters of contractual interpretation. Ari also counsels Delaware corporations and special committees on corporate law, fiduciary responsibilities and governance issues.  He also provides advice and legal opinions in connection with an investment fund and joint venture transactions.

Ari brings value to many sophisticated and complex transactions by ensuring that the corporate components of these transactions are completed in an efficient, cost-effective and timely manner.

Ari also has experience counseling clients with respect to Delaware common law trusts including in their use in developing community land trusts for low-income and disadvantaged populations.
