Peter Dalmasy advises publicly traded and privately held clients on a broad range of employee benefits and executive compensation matters in the context of mergers, acquisitions and other transaction structures including the treatment of incentive compensation plans and equity awards, advising on Internal Revenue Code Section 280G golden parachute requirements and drafting and negotiating employment, consulting and severance agreements.
Peter has experience with the design and implementation of cash, equity and equity-based incentive compensation plans and agreements, including change-of-control, retention and other transaction-related bonus arrangements, as well as advising companies and officers on disclosure obligations under federal securities laws.
Prior to joining Katten, Peter worked as an associate at a large international law firm in New York in its employee benefits and executive compensation practice group. During law school, Peter served as vice president of the Latino/a Law Students Association and was an Equal Justice America fellow while completing his 1L internship with Legal Aid Chicago (formerly known as LAF).
