Brittany McCants liaises with a cross-section of corporate practitioners, accountants and members of senior management to resolve complex issues arising out of executive compensation matters in M&A transactions, IPOs, and day-to-day corporate governance. Brittany has deep experience providing public company advisory services and advising on the design, implementation and operation of equity incentive plans and other forms of incentive-based compensation.
Brittany focuses on advising public companies on corporate governance matters pertaining to compensation of executives, Securities and Exchange Commission disclosure requirements, and proxy advisory firm policies. Further, she counsels executives and employers in the negotiation of employment, severance and incentive compensation arrangements associated with executive hires and departures.
Working with both public and private companies, Brittany has more than 10 years of experience advising on high-profile executive compensation matters. Brittany works closely with corporate clients across many industries, including biomedical, healthcare, retail and real estate, on legal due diligence and the negotiation of transaction documents in connection with mergers, divestitures, securities offerings and financing transactions.
She has counseled clients on Code Section 409A compliance, Code Section 280G analysis and parachute vote process, management rollovers and incentive equity matters.
