Professional Biography

Dianne E. Carlson brings a distinct perspective to the Corporate & Securities Group through her labor and employment-focused international practice. She has extensive experience advising clients in cross-border employment issues, as well as on employment matters arising in multinational mergers and acquisitions. Ms. Carlson believes that all clients with employee relationships that cross borders are smart to evaluate whether there are hidden costs and liabilities arising from those relationships. Ms. Carlson represents clients in planning and executing best practice cross-border personnel expansions, finding solutions to the need to hire employees or contractors to work across borders, addressing integration and harmonization of workforce policies across borders, resolving undetected employment issues arising in cross-border mergers and acquisitions, as well as advising clients regularly on cross-border transfers of data, discovery obligations and privilege applications.

She also regularly advises on cross-border, multi-country analysis of comparative law, conflict of laws, and the intersection of corporate policies and local obligations. Her experience includes assessment and implementation of client solutions to global workforce management, high level expatriate or sensitive employee terminations in multiple countries, global employment practices compliance audits, global employee data privacy and protection, analysis of expatriate processes and agreements, and general practice information about non-US countries’ labor laws and employment obligations. In addition to all her cross-border employment work, Ms. Carlson has also been a US and Texas employment attorney for many years, and regularly advises domestic clients on executive employment agreements, policies, non-compete and confidentiality agreements, reduction in force and termination procedures.
