Adelee Traylor is a business transactions attorney who guides clients in health care, life sciences, and other industries—from startups to Fortune 500 companies—through all aspects of intellectual property (IP) and technology matters.
Her transactional work includes structuring and negotiating international and domestic technology and IP transactions, including technology transfer and licensing arrangements, outsourcing transactions, research and development activities, and joint ventures. Adelee has extensive experience in complex software agreements, such as licensing, development, hosting, SaaS, PaaS, and other marketing and services agreements. Clients also seek her advice in connection with the protection and enforcement of IP, including the clearance, use, registration, maintenance, and opposition of IP rights and assets.
Adelee counsels clients on all aspects of IP auditing and portfolio management, IP strategy development, competitive analysis, and IP monetization. In addition, she provides advice on the IP and technology aspects of corporate transactions, including mergers and acquisitions, and handles IP due diligence reviews.
Adelee has worked with clients of all sizes, including emerging companies, universities, research institutions, and multinational companies, in many different technology areas, including biopharmaceuticals, consumer products, data science, e-commerce, health care, manufacturing, medical devices, pharmaceuticals, and software.
Aside from her IP work, Adelee is experienced in the drafting and negotiation of agreements relating to the conduct of medical research, such as clinical trials, investigator-initiated studies, and the sharing of data and materials inside and outside the United States, and interfacing with research organizations, government entities, clinical research organizations, and third-party suppliers on behalf of pharmaceutical and medical device companies.
Additionally, Adelee gives her time to various pro bono endeavors, including having served as a pro bono attorney for the Legal Aid Society of Middle Tennessee and the Cumberlands, Room In the Inn, Arts & Business Council of Greater Nashville, and the Nashville Entrepreneur PreFlight Program.
In 2023, Adelee mentored a cohort for the FemHealth Accelerator program, which supports women entrepreneurs in building technology-enabled, consumer-centric products and solutions that drastically improve women's health and fitness.
