As the debate continues regarding DExit, I have been on the lookout for companies making the move from Delaware to Nevada. Recently, I came across this information statement filed by Viewbix Inc., a digital advertising company headquartered in Ramat Gan, Israel. The information statement announcing the approval of the move was filed with the Securities and Exchange Commission in February of this year. However, the company filed a Form 8-K on July 30 indicating that the company was still incorporated in Delaware.
The company's method for reincorporation differs from some other recent examples. If and when Viewbix Inc. reincorporates, it will do so by merging with and into a Nevada corporation. Other recent reincorporations have been effected by conversion pursuant to NRS 92A.195 and Section 266 of the Delaware General Corporation Law.
