Professional Biography

Tiange (Tim) Chen advises on cross-border capital market and corporate transactions, with a particular focus on SPAC IPOs and de-SPAC business combinations. He also advises domestic and foreign issuers, underwriters, and investors on a variety of securities offering, disclosure, and compliance matters. Tim is a member of our firm’s Business Transactions group and its Capital Markets + Securities team. Tim’s clients benefit from his diverse background in cross-border transactions. He has worked and written on legal issues affecting foreign investors in the areas of national security, export control, investment law and international trade law. Previously, Tim worked as a business development assistant for a major international law firm’s China practice group and spent nearly one year working from Beijing City, China. He also served as an assistant editor for a prominent publication focused on international investment and commercial dispute resolution. During law school, Tim served as judicial intern for the Honorable Tanya S. Chutkan of the U.S. District Court for the District of Columbia and the Honorable Gerald I. Fisher of the Superior Court of the District of Columbia. He also worked for the World Bank’s integrity compliance unit and the New York Attorney General’s Office. Tim is a member of R+C’s Diversity, Equity, Inclusion, + Belonging committee.

Zhuoyao (Joy) Hui is an experienced corporate and securities lawyer in equity and debt capital markets. Her practice in equity capital markets is focused on Initial Public Offerings (IPOs), SPAC/de-SPAC (Special Purpose Acquisition Company) transactions, follow-on offerings, and private placements. Her practice in debt capital markets relates to representing issuers, underwriters and sponsors in high-yield and investment grade bonds, convertible bonds, and liability managements, and leveraged acquisition financing transactions. Joy also has cross-practice experience in data privacy law and holds a CIPP/E certificate. She is familiar with the data and cybersecurity rules and regulations of various jurisdictions in APAC.

Prior to joining Robinson+Cole, Joy worked as a vice president in the in-house legal team for the Asia Pacific (APAC) investment arm of a prominent international bank. Joy advised on a broad range of capital markets and investment transactions across product lines and regions. During that time, she gained substantial experience with IPOs, dual primary listings, global depository receipt (GDR) offerings, and private placements of equity and equity-linked securities, as well as high yield and investment grade debt offerings, and public and private mergers and acquisitions relating to clients from various jurisdictions, including the U.S. and across various jurisdictions in Asia, such as Hong Kong, Southeast Asia, Japan, and Korea. Prior to her tenure with the international bank, Joy worked in the Hong Kong office of several international law firms.

Joy’s cross-cultural experience and fluency, combined with her strong and varied legal skills and cross-border transactions, have been key to building successful relationships and helping companies meet their international business objectives.

She is a native Mandarin speaker and is fluent in English, with conversational facility in Cantonese and basic Spanish.
