As a counsel in the Corporate and Transactional practice, clients rely on Michael to work with Polsinelli’s team of attorneys to analyze complex corporate and transactional matters to provide comprehensive legal advice. Michael represents nonprofit hospitals and healthcare systems in a variety of corporate governance and transactional matters including:
- Hospital and physician practice mergers, acquisitions, and dispositions;
- Nonprofit member substitutions;
- Joint venture agreements;
- Internal reorganizations;
- Tax efficient structures.
His prior experience as an Executive Director of Tax at a large health system allows for Michael to find pragmatic, business focused solutions that take into account the needs of stakeholders throughout the organization. Prior to his time at the health system, Michael worked in the exempt organizations tax practice of a Big Four accounting firm, where he focused on 501(c)(3) consulting, including unrelated business income, corporate governance, tax compliance, and Affordable Care Act requirements.
In addition, Michael sits on the finance committee and acts as a tax specialist for an Atlanta based 501(c)(3) organization that provides emergency assistance for food service workers through financial support and a network of community resources.
