Matthew advises associations, public and private foundations, and businesses on contracts and agreements including bylaws and related amendments, tax exemption applications and in antitrust matters, as well as with administrative, governance and risk management issues. He has particular experience drafting and negotiating resolutions and consents, management and equity compensation agreements, management succession plans, service agreements, and buy-sell agreements.
Matthew has also assisted with non-solicitation and confidentiality agreements, drafting public filings for securities matters, resolutions and consents for reorganizations, and private placement memorandums. Additionally, he has advised such entities in advanced planning matters in relation to pre-liquidity, family office formation, capital structures of stock, and Series LLC compliance.
Prior to joining the firm, Matthew worked as in-house legal counsel for a nonprofit sports association, drafting and reviewing vendor agreements, sponsorship contracts, and player appearances. He was also an associate at a boutique law firm and an analyst for a leading convenience store supplier.
