John E. Ludlum

Professional Biography

Mr. Ludlum concentrates his practice from the Salt Lake City office advising private and public entities from start-ups to Fortune 100 companies on employee benefits and equity compensation matters.  In the context of mergers and acquisitions and other transactions, Mr. Ludlum proactively identifies and analyzes the tax risks associated with transitioning all types of benefits and strategically advises clients how to creatively structure tax-effective arrangements that meet operational goals.  Mr. Ludlum also ensures that proposed transactions comply with tax and securities laws affecting employee and equity compensation, including golden parachute, deferred compensation, and securities registration exemptions.

Mr. Ludlum counsels employers how to design and implement compensation plans current with market practices that both maximize benefits for employees and executives and minimize tax considerations. He assists clients to design, draft, and modify ERISA pension and welfare plan operations to remain compliant with rapidly changing regulatory requirements.
