Irina Golovanova focuses her practice on trade and corporate matters in Russia and the CIS. She advises clients on matters of Russian law and practice, particularly in the areas of securities regulation, corporate structuring, assets acquisition and labor issues.
Irina’s work includes purchase and sales of assets and securities, creation of joint ventures and privatization in the CIS. Among other projects, she has represented clients in projects related to oil and gas exploration and production agreements and structuring and restructuring equity and debt investments in agricultural, precious metals, oil and gas, media and telecommunications ventures. In addition to representing US and other Western investors in Russia, Irina has been extensively involved in representing Russia-based energy sector enterprises and financial institutions.
Irina’s work includes negotiating and drafting sale and purchase agreements, shareholders’ agreements, lease agreements, and construction management and development services agreements; negotiating and drafting agreements and charters for joint ventures, joint stock companies, limited liability companies, partnerships and nonprofit organizations; corporate due diligence, review and preparation of various memoranda; conducting legal risk analysis; and advising on and preparing documentation for corporate housekeeping matters for joint ventures and other Russia-based companies, including preparation of a corporate procedures and recordkeeping manual in Russian and English. She also has extensive experience and legal expertise in mining projects in Mongolia.
