Austin R. Kissinger is an associate with Foley & Lardner LLP, based in the firm’s Milwaukee office, where he is a member of the firm’s Transactions Practice.
Austin was a summer associate with Foley where he drafted board resolutions and form 8-K in relation to adoption of shareholder rights plan, performed research and wrote memoranda on a variety of topics including SEC disclosures, contracts, jurisdictional issues, shareholder liability, drafted ancillary documents for loan agreements in connection with real estate transaction and performed due diligence regarding non-assignability clauses for merger agreement. He also created form-check to be used for Form 10-K and Proxy Statement SEC filings.
Austin also obtained experience as a summer associate at a global law firm in Chicago, Illinois performing due diligence and drafting disclosure schedules for a variety of M&A transactions, incorporating mark-ups from opposing counsel and internal specialists into master purchase agreement and researching and writing memoranda on several topics in corporate and real estate law.
