Anne Wolniakowski is a principal and co-leader of the Corporate Transactions and Business Law group whose practice focuses on general business and corporate law.
Anne concentrates on transactions involving closely held entities, including acquisitions and sales of businesses ranging in size and industry. She is involved in all aspects of business planning, including business formation, ownership structure, succession planning and contract negotiation and preparation. She also has experience in general commercial real estate and leasing matters.
In addition, Anne represents lending institutions in a variety of financial and real estate transactions, including real estate property sales. She has extensive experience in structuring loan transactions, negotiating, and drafting loan and collateral documents, including assisting both lenders and borrowers in workouts and forbearance arrangements.
Specifically, her experience includes drafting and negotiating asset purchase agreements, stock acquisition agreements, operating agreements, shareholder agreements, buy/sell agreements, loan and financing transactions, employment, consulting, and independent contractor agreements, supply agreements, distribution agreements, manufacturing agreements and similar arrangements.
As a transactional attorney, Anne enjoys the opportunity to develop ongoing business relationships with clients. Her background cuts a wide swath from corporate to banking to real estate law, providing a holistic understanding on how these areas impact each other, which adds tremendous value to her clients. It is important for Anne to understand a client’s business and the goals of its business owners to allow her to provide sound legal advice that is also practical from a business standpoint.
In 2010, Anne’s achievements were recognized by Super Lawyers magazine, which named her to its list of Illinois Rising Stars. At Chuhak & Tecson, she has chaired the Recruitment and Quality Committees, has been a member of the Finance and Technology Committees and was an Ombudsperson for the firm. She is a founding member of Chuhak & Tecson’s Women Helping Women program.
