Anna Jinhua Wang, a member of the firm’s Business Transactions Group, assists clients with capital markets and securities law, mergers and acquisitions, and general corporate matters. She is fluent in Mandarin and Cantonese.
Capital Markets and Securities
Anna has a decade of experience helping public and private companies in capital market and securities-related matters. She represents clients across a range of industries, from emerging to established companies, and she helps them identify and secure sources of capital. She advises clients on capital formation, capital structure, securities offerings, and equity and asset sales and purchases. Anna has represented clients in numerous private and public financings, including private investment in public equity (PIPE) financings and related transactions. She frequently represents international companies looking to enter the U.S. capital market.
Anna recently represented a chain of specialty gardening stores in connection with various private offerings and the public listing of its securities, and she assisted a solar power monitoring corporation in connection with its seed financing.
She also counsels clients on securities and compliance with various federal and state laws. She provides assistance with registrations and periodic report filings with the U.S. Securities and Exchange Commission. Anna has years of experience working within the constructs of the Securities Act of 1933, the Securities Exchange Act of 1934, Blue Sky Laws, and rules of various markets and exchanges.
Mergers and Acquisitions
Anna regularly guides companies of all sizes through merger and acquisition transactions, joint ventures, and buyouts. She has assisted clients with numerous transactions involving multi-million dollar deals. Anna recently assisted a chemical company with the sale of all of its security interests valued at $87 million and guided a client through the sale of a portfolio of securities valued at $440 million to one of the largest asset managers in the world.
Corporate Law
Anna provides representation to clients on various general corporate matters, such as issues related to entity formation, corporate governance and maintenance, bylaws, contracts, shareholders’ meeting, and proxies.
Before joining Robinson+Cole, she was associated with a New York law firm, where she concentrated on corporate and securities law, regulatory compliance, corporate governance, and private and public financings. Anna was selected as a Rising Star to the New York Metro Super Lawyers list from 2015 to 2018.
