Alan is a nationally recognized corporate and securities lawyer. He represents public and private companies in all aspects of corporate transactions, including mergers and acquisitions, public and private securities offerings, joint ventures, and other strategic relationships. Alan serves as outside general and securities counsel to several public companies advising on such matters as 1934 Act reporting and corporate governance. His representation encompasses a wide range of businesses and assets, several with aggregate market values in excess of a billion dollars.
Other representations include initial public offerings, private placements of equity and debt (including real property and debt funds), tender offers, venture capital financings, secured and unsecured credit facilities, corporate recapitalizations and restructurings, and shareholder employment and consulting agreements. Alan has advised clients in leveraged lease transactions involving railroad cars, airplanes, and computer hardware, and has handled a proxy fight involving a New York Stock Exchange company. He has represented clients in pari-mutuel licensing matters in Florida, Wisconsin, and Texas, multi-bank structured asset transactions with the FDIC, and acquisitions and dispositions of financial institutions, financial services and healthcare companies.
