Professional Biography

Ajay is Senior Counsel in the firm’s Corporate & Tax Group where he represents privately-held companies, private equity and venture capital funds, institutional investors, family offices and other high net worth individuals in a variety of business combination and other transactional matters, including mergers and acquisitions, joint ventures, partnerships and other strategic investments. In addition, he regularly advises clients with respect to organizational matters, corporate governance, equity financing, shareholder and operating agreements, commercial agreements and other general corporate matters.

Ajay’s recent representative deals include representing:

• A leading provider of machining, fabrication and other industrial services to the phosphate industry in its sale to a private equity sponsor;
• A privately-held business engaged in the distribution, sale and refurbishment of ultrasound machines in its business combination with a leading distributor of ultrasound probes.  
• A private equity sponsor in its investment in a company providing ATM sales and maintenance services.
• A family office investor in its joint venture with a real estate fund to acquire and develop a shopping center in Brentwood, California.
• A leading designer and manufacturer of performance software and tuning solutions for automobiles in its sale to a strategic buyer. 
• A professional ophthalmology clinic and ambulatory surgery center in its partnership with a leading regional ophthalmological physician practice.
• A venture capital fund leading a Series D investment in a leading provider of ambulatory EEG services, sleep diagnostic and research services and positive airway pressure devices.
• A family office investor in a Series Seed and Series A investment in a startup company developing an integrated platform to unify healthcare data systems.   

Prior to joining Hill Ward Henderson, Ajay worked in the New York City office of an international law firm where he focused on real estate capital markets transactions, including fund formations, joint ventures and acquisitions and dispositions. He also previously served as in-house counsel to a large, multinational financial institution where he advised in the structuring and implementation of sponsored and unsponsored depositary receipts facilities for companies seeking access to U.S. and global capital markets. 

Passionate about immigrants’ rights, Ajay previously served on the Legal Advisory Committee of the Capital Area Immigrants’ Rights Coalition in Washington DC and was the recipient of a 2012 inMotion Commitment to Justice Award for his work on behalf of immigrant women fleeing domestic violence.  Ajay is also the author of “From Obsolete to Essential: How Reforming our Immigration Laws Can Stimulate and Strengthen the United States Economy”, which was published by the Albany Government Law Review in 2010.

Outside of the office, Ajay serves on the Equal Business Opportunity Advisory Committee of the City of Tampa and is a member of the Tampa Bay chapter of the New Leaders Council. In his spare time, he also enjoys spending time with his wife and their miniature dachshund, Fiona, as well as cheering on the Florida Gators and Orlando Magic.
