Patrick represents issuers and underwriters in a range of capital markets transactions.
Patrick advises issuers and underwriters across a range of public and private securities offerings. His experience includes common stock offerings, establishment of “at-the-market” equity programs, equity-linked offerings, preferred and hybrid securities offerings, tax-exempt offerings and remarketings of multimodal debt, 4(a)(2) private placements and liability management transactions. He also has experience advising clients on general corporate, securities law and corporate governance matters.
Relevant Experience
- Represented PG&E Corporation and its subsidiary Pacific Gas and Electric Company in connection with their $22.7 billion debt exit financing, which included the largest utility debt financing in history, and establishment of a new first mortgage bond indenture, issuance of new debt securities pursuant to its plan of reorganization and securities law advice related to PG&E’s Chapter 11 bankruptcy proceedings.
- Represented underwriters in connection with equity units offerings by The Southern Company and NextEra Energy, Inc.
- Represented underwriters in connection with The Southern Company’s $9.4 billion debt and equity offerings to finance its acquisition of AGL Resources.
- Represented Duke Energy Corporation in connection with forward common stock offering and establishment of at-the-market equity program (with forward).
- Represented underwriters and forward counterparties in connection with multiple common stock offerings by Consolidated Edison, Inc.
