Nick is a Shareholder in the firm’s Corporate & Tax Group, practicing in the areas of venture capital and private equity, banking and finance, mergers and acquisitions, and corporate governance.  His principal focus is on corporate financing transactions, particularly angel and venture capital investments, acquisition and leveraged finance, and commercial lending.

Nick frequently represents venture capital and private equity funds, family offices, and high net worth individuals in negotiating and documenting debt and equity investments in early- and growth-stage companies, from term sheet to closing, and through subsequent financing rounds and recapitalizations.  Recent representative transactions include:

• Representing a family office as the lead investor in a $75 million Series A financing of a wellness real estate and technology firm.

• Representing a venture capital fund in a preferred equity investment to fund a carve-out acquisition of a digital health and wellness business.

• Representing angel investors in a Series Seed financing and a subsequent convertible debt bridge financing of a data management software company.

Nick also has extensive experience advising private equity funds, companies, and financial institutions in leveraged buyout and recapitalization financings, as well as asset-based, cash flow, and other commercial loans.  Recent representative transactions include:

• Representing a NASDAQ-traded apparel company in connection with senior secured credit facilities totaling $77 million.

• Representing a private equity-sponsored government and defense contractor in connection with senior and mezzanine credit facilities totaling over $100 million, to fund a recapitalization of the company.

• Representing a private equity sponsor in connection with senior ABL and term loans and mezzanine debt to fund the acquisition of and working capital for a restoration contracting company.

In addition, Nick regularly assists startup, venture/PE-backed, and other private and public companies with general corporate, financing, and commercial matters throughout the business lifecycle.

Passionate about technology, Nick sits on the firm’s Technology Committee and devotes much of his time outside the office to tinkering with computers and being involved with the area’s technology startup and investing community.  He has served as a speaker, panelist and coach at organizations including Florida Venture Forum, Tampa Bay WaVE and their FirstWaVE Accelerator, and USF’s Tampa Bay Technology Incubator.
