Jeff is a partner in the firm’s premier Emerging Companies practice group. His practice focuses on representing domestic and foreign public and private companies in corporate finance and securities law, venture capital, M&A, private equity, and general corporate matters. He has significant experience working with a wide range of companies at all stages of their life cycle, from formation to exit, and frequently advises early stage companies and entrepreneurs.
His experience spans a wide variety of financial transactions and stock transactions, including private placements, M&A transactions, restructuring, reorganizations, SPAC transactions, and IPOs. In addition, he has substantial experience in advising both private and public company clients on board and governance issues, public company filings, and other corporate and securities matters. He has represented several public company clients with a combined aggregate market capitalization of more than $130 billion.
Jeff's experience includes a broad spectrum of business sectors, including communications, government and defense, FinTech, manufacturing, marketing and advertising, medical devices and technology, restaurants, retail, and software. Jeff also regularly represents companies and investment funds in areas such as the commercial space sector, natural resources and agriculture (including hemp), and other emerging industries. Furthermore, Jeff is crypto-fluent and has experience representing clients in connection with investments and business matters involving cryptocurrency assets, blockchain, and distributed-ledger technologies.
Jeff has been named as a “Rising Star” by Super Lawyers, one of Georgia Trend magazine's "Legal Elite" (Business Law and Corporate Law) and is recognized as a leading legal authority on the SEC’s disclosure provisions covering conflict minerals. His insights have been prominently featured in publications including The Wall Street Journal, Bloomberg, and Foreign Policy.
A ProBoard certified firefighter and former Deputy Chief of a fire department in the Washington, D.C. Metropolitan Area, Jeff currently serves as Corporate Secretary of the Atlanta Fire Rescue Foundation and sits on its Board of Directors and Executive Committee. He is also a leading individual on both the international and U.S. regulatory regimes governing deep seabed mining operations, serves as a trusted source and frequent contributor for journalists covering the topic, and has written extensively on the subject himself.
