The Houston-based completion services company entered the process carrying approximately $388 million in total funded debt — most of it traced to a 2018 acquisition of Magnum Oil Tools that never quite penciled out. It emerged from bankruptcy on March 5, having shed roughly $320 million in senior secured notes through a debt-for-equity swap that wiped out existing shareholders entirely. The whole process took 32 days. Nine’s restructuring was pre-packaged and orderly, and its first-day court filings included a commitment to pay trade vendors in full. That is a better outcome than many creditors see in an OFS bankruptcy. Purdue Stops at the Border? Chapter 15 and Foreign Plan Releases

When the Supreme Court decided Harrington v. Purdue Pharma L.P., many assumed the era of nonconsensual third-party releases was over.[1] That assumption is largely right in domestic Chapter 11 cases. It is wrong in Chapter 15.[2] In Purdue, the Supreme Court held that the Bankruptcy Code does not authorize a Chapter 11 plan to release and enjoin claims against a nondebtor without the consent of affected claimants. Harrington v. Purdue Pharma L.P., 603 U.S. 204, 227 (2024). The Court reasoned that § 1123(b)(6), the Chapter 11 plan “catchall” provision, does not give bankruptcy courts the radically different power to discharge claims against nondebtors who have not themselves filed bankruptcy or subjected their assets to the bankruptcy process. Lucas Albrecht was underwater and heading toward bankruptcy. But he lived in a Raleigh home worth $420,000 with his domestic partner, Kirsten Moore. The home would have been off-limits if they held the property as tenants by the entirety. Unfortunately for him, they held the property as joint tenants, making his half of the equity fair game for his creditors. So, acting on the advice of counsel (and maybe a romantic urge) Albrecht and Moore got married. The next day, they re-deeded the property from joint tenancy to tenancy by the entirety. A few weeks later, Albrecht filed Chapter 7. The plan made sense. Under North Carolina law, property held by a married couple as tenants by the entirety is protected from the individual debts of either spouse. As joint tenants before the marriage, Albrecht’s half-interest was exposed. As tenants by the entirety after the wedding, it was not. Except it was.
